You agree that you will not, at any time during your engagement with Excalibur Websites, Inc. and in perpetuity, copy or reproduce, publish, sell, use, make any commercial use of, exploit, disclose or divulge any Conﬁdential Information of Excalibur Websites, Inc., directly or indirectly, to any other person or entity except: (i) at the written direction of Excalibur Websites, Inc.; (ii) to the extent necessary to comply with law or the valid order of a court or governmental agency of competent jurisdiction, in which event you will promptly notify Excalibur Websites, Inc. (where permissible under law) and will seek or assist Excalibur Websites, Inc. with seeking conﬁdential treatment of such information; and (iii) to your accountants, ﬁnancial advisors and/or attorneys as part of its normal reporting or review procedures or to enforce its rights pursuant to this Agreement. You further agree that such Conﬁdential Information will at all times remain the property of Excalibur Websites, Inc. (or its licensors, customers, or suppliers) and agrees to take all necessary and appropriate procedures to avoid unauthorized disclosure of Conﬁdential Information.
c. Return. In the event that your engagement with Excalibur Websites, Inc. terminates or expires for any reason or upon the prior request of Excalibur Websites, Inc., you will destroy or return to Excalibur Websites, Inc. all Conﬁdential Information of Excalibur Websites, Inc. in your possession or under its direct or indirect control. You will conﬁrm to Excalibur Websites, Inc. in writing of all conﬁdential information you destroy.
